Return & Refund Policy

Netyex Seller Central

Effective Date: 28-12-2025

This Return & Refund Policy (“Policy”) governs the terms related to returns, rejections, adjustments, and refunds between Netyex Seller Central (“Netyex”, “we”, “our”, or “us”) and registered suppliers (“Supplier”, “you”, or “your”).

This Policy applies only to B2B bulk orders facilitated and managed by Netyex.

1 Scope & Applicability

1.1 This Policy applies to:

  • Orders placed by Netyex with suppliers
  • Manufacturing, sourcing, and supply activities executed under Netyex instructions

1.2 This Policy does not govern:

  • Buyer–supplier relationships
  • Retail or consumer transactions
  • Brand promotion or marketing activities

2 Nature of Orders

2.1 All orders placed by Netyex are:

  • Bulk and MOQ-based
  • Specification-driven
  • Often made-to-order or customized

2.2 Suppliers acknowledge that retail-style returns and cancellations are not applicable to such transactions.

3 Order Acceptance & Irrevocability

3.1 Once a supplier accepts an order issued by Netyex, the following are deemed final and binding:

  • Product specifications
  • Quantity and MOQ
  • Quality parameters
  • Packaging and labeling requirements
  • Delivery timelines

3.2 Orders cannot be cancelled or modified by the supplier once production has commenced, unless expressly approved by Netyex in writing.

4 Non-Conformance & Rejection by Netyex

4.1 Netyex reserves the right to inspect goods:

  • During production
  • Prior to dispatch
  • At delivery point, where applicable

4.2 Netyex may reject goods supplied by the supplier if there is material non-conformance, including but not limited to:

  • Deviation from approved specifications
  • Quality standards not met
  • Incorrect quantities, labeling, or packaging
  • Unauthorized substitutions or changes

5 Resolution Mechanisms

In case of confirmed non-conformance, Netyex may, at its discretion:

  • Require corrective action or rework at supplier cost
  • Request replacement of affected goods
  • Accept goods with a commercial adjustment
  • Reject affected goods fully or partially

The method of resolution shall be determined by Netyex based on operational feasibility.

6 Refunds & Financial Adjustments

6.1 Refunds to Netyex, if applicable, may be required where:

  • Goods are rejected due to supplier fault
  • Corrective action or replacement is not feasible

6.2 Refunds may be executed through:

  • Direct refund to Netyex
  • Adjustment against future payments or orders
  • Debit notes or commercial settlements

6.3 Refund amounts may include:

  • Cost of rejected goods
  • Inspection or rework costs
  • Logistics or handling expenses (where applicable)

7 No-Refund Scenarios

Refunds shall not be applicable where:

  • Goods conform to approved specifications
  • Variations fall within agreed tolerances
  • Delays are caused by force majeure events
  • Supplier has complied with all agreed terms

8 Risk & Title

8.1 Risk transfer points (EXW, FOB, CIF, etc.) shall be defined per order.

8.2 Liability for loss or damage shall be governed by:

  • Agreed Incoterms
  • Insurance arrangements, where applicable

9 Role of Netyex

9.1 Netyex acts as a managed sourcing and order execution partner and coordinates inspections, logistics, and resolution discussions.

9.2 Netyex’s decisions regarding rejection, rework, replacement, or refunds shall be final and binding at the platform level.

10 Dispute Resolution

10.1 Any disputes related to this Policy shall be:

  • Reviewed internally by Netyex
  • Assessed based on documentation and inspection findings

10.2 Suppliers agree to cooperate fully during dispute resolution.

11 Policy Modifications

Netyex reserves the right to amend this Policy at any time. Updated versions will be published on the Platform with a revised effective date.

12 Governing Law & Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of India.

Courts located in [Noida, Gautam Buddh Nagar, U.P., India] shall have exclusive jurisdiction.

Final Acknowledgement

By accepting an order from Netyex or continuing to use Netyex Seller Central, suppliers acknowledge and agree to this Return & Refund Policy.
