1.1 Netyex Seller Central is not a marketplace, product listing portal, or brand promotion platform.

1.2 The platform functions as a supplier capability and readiness system, enabling Netyex to evaluate suppliers and place bulk orders based on real international demand.

1.3 Registration on Seller Central does not constitute a promise, guarantee, or assurance of orders, minimum volumes, or business continuity.

2.1 Netyex acts as a managed B2B sourcing and order execution partner for international buyers.

2.2 Netyex:

• Aggregates and validates bulk buyer demand
• Evaluates and qualifies suppliers internally
• Places orders with selected suppliers
• Manages buyer communication, export coordination, and payment processes

2.3 Netyex does not disclose buyer identities or buyer contact information to suppliers.

3.1 Suppliers are responsible for:

• Accurate representation of company, product, and capacity details
• Providing complete and truthful information during onboarding
• Maintaining consistent product quality
• Meeting agreed MOQs, specifications, and delivery timelines
• Supporting documentation and compliance requirements when requested

3.2 Suppliers acknowledge that misrepresentation or non-compliance may result in disqualification or termination from Seller Central.

4.1 Supplier registration is free of charge and non-exclusive.

4.2 Submission of information through Seller Central constitutes consent for Netyex to review and evaluate supplier capability.

4.3 Qualification is:

• Demand-driven
• Requirement-specific
• Subject to internal evaluation

4.4 Netyex reserves the right to:

• Approve, reject, or suspend any supplier profile
• Request additional information or documentation
• Modify qualification criteria at its discretion

5.1 Orders are placed only after supplier qualification and alignment with active demand.

5.2 Orders are:

• Issued by Netyex
• Subject to agreed commercial and operational terms
• Not guaranteed in frequency or volume

5.3 Suppliers shall manufacture and deliver strictly as per approved specifications and timelines.

6.1 Suppliers shall quote prices transparently and accurately.

6.2 Netyex operates on a buyer-side margin or sourcing model. No commission or marketing fee is charged to suppliers unless explicitly agreed in writing.

6.3 Netyex reserves the right to negotiate pricing and commercial terms with buyers independently.

7.1 Payment terms shall be communicated for each order.

7.2 Netyex coordinates payment flow but does not guarantee payment timelines unless expressly agreed in writing.

7.3 Suppliers are responsible for compliance with applicable tax and regulatory requirements.

8.1 Netyex does not:

• Promote or market supplier brands
• Display supplier branding to buyers unless required for compliance
• Provide retail or D2C exposure

8.2 Suppliers acknowledge and accept that the platform is designed for bulk sourcing, not brand visibility.

9.1 All supplier information is treated as confidential.

9.2 Buyer identities, pricing strategies, and demand details are not disclosed to suppliers.

9.3 Suppliers agree not to attempt direct contact with buyers or misuse platform data.

10.1 All order-related communication shall be conducted exclusively through Netyex.

10.2 Direct buyer-supplier communication without written authorization is strictly prohibited.

11.1 Netyex reserves the right to suspend or terminate supplier access if:

• Terms are violated
• Quality or delivery commitments are not met
• False or misleading information is provided
• Business conduct is deemed detrimental to the platform

11.2 Termination does not affect obligations related to active or completed orders.

12.1 Netyex shall not be liable for:

• Loss of business opportunity
• Indirect or consequential damages
• Demand fluctuations or order non-placement

12.2 Use of Seller Central is at the supplier’s own risk.

13.1 Nothing in these Terms creates:

• A partnership
• Joint venture
• Employment or agency relationship

Between Netyex and the supplier.

14.1 Netyex may update these Terms from time to time.

14.2 Continued use of Seller Central constitutes acceptance of updated Terms.

15.1 These Terms shall be governed by and construed in accordance with the laws of India.

15.2 Courts located in [Insert City, India] shall have exclusive jurisdiction.
